VCPro Database Terms and Conditions

License Agreement

This is a legal agreement between you, the end user, and Access InterComm, the publisher of VCPro Database. Access InterComm provides the data contained therein and licenses its use solely pursuant to the terms of this agreement. By purchasing the VCPro Database (Database), you are agreeing to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not use this Database. You assume responsibility for your purchase of the data contained therein to achieve your intended results.

1. Grant of License

The Database and accompanying data are copyrighted and/or contain proprietary information protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. All data contained therein, and all copies thereof, are and will remain the sole property of Access InterComm. In consideration of the purchase price payment, Access InterComm as Licenser grants to you, the Licensee, a non-exclusive, non-transferable license to use the Database for your own personal use in order to assist you in conducting your own search.

2. Use Restrictions (Uses not Permitted)

You may NOT:
A. allow others to use, copy or evaluate copies of this Database;
B. copy the Database and accompanying data contained therein into any machine-readable or printed form except for the purpose described above and for backup;
C. provide use of the Database and accompanying data in any commercial or non-commercial online service, including but not limited to the Internet, any computer service business, network, timesharing, or interactive cable television;
D. sell, rent, lease or sublicense the Database and accompanying data to others, unless expressly authorized in writing by Access InterComm;
E. make telecommunications data transmission of the Database and accompanying data contained therein;
F. send unsolicited email and fax. Be aware that you are solely responsible for the messages you send. In many cases, sending unsolicited email and fax is in violation of the law, and you will be solely accountable and liable for damages and violations.

3. Term

Your license is effective until terminated. You may terminate it at any time by destroying the Database with all copies. It will also terminate upon conditions set forth elsewhere in the Agreement or if you fail to comply with any terms or conditions stated herein.

4. Warranties: Disclaimers

THE DATABASE IS PROVIDED ON AN "AS IS" BASIS. ACCESS INTERCOMM DISCLAIMS ALL WARRANTIES RELATING TO THE DATABASE, WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER ACCESS INTERCOMM NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE DATABASE SHALL BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE DATABASE, EVEN IF ACCESS INTERCOMM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. THE PERSON USING THE DATABASE BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE DATABASE.

5. Customer Remedies

Access InterComm's entire liability and your exclusive remedy shall not exceed the price paid for the Database.

6. General

You agree that you do not intend to, and will not, ship or transmit (directly or indirectly) any copies of the Database contained therein to any country or destination prohibited by the United States Government.

BY PURCHASING THIS DATABASE YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US WHICH SUPERSEDES ANY PROPOSAL OR PRIOR OR CONTEMPORANEOUS AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
