1. Acceptance of These Terms

These Terms of Use ("Terms") govern your use of the website located at www.vcprodatabase.com (the "Website") and the VCPro Database software and data product (the "Product"), both operated and published by Access InterComm ("we," "us," or "our"). By accessing the Website, downloading the trial version, or purchasing the Product, you agree to be bound by these Terms. If you do not agree, please do not use the Website or the Product.

2. Use of the Website

You may use the Website for lawful purposes only. You agree not to attempt to gain unauthorized access to any portion of the Website, interfere with its operation, or use automated tools to scrape, harvest, or bulk-download content from the Website without our prior written consent.

3. Software License

Upon purchase, we grant you a limited, non-exclusive, non-transferable license to install and use the Product on a single computer for your own internal business or personal use ("Single-User License"). The Product is licensed, not sold. The full License Agreement sets out the complete terms that apply to the Product.

The trial version of the Product is provided for evaluation purposes only and may be limited in features or content compared to the full version.

4. Restrictions on Use of the Data

You agree that you will not:

  • Resell, redistribute, sublicense, publish, or otherwise make the Product or any substantial portion of its data available to any third party;
  • Use the data to create a competing product, directory, or database service;
  • Share your copy of the Product or license credentials with others outside the scope of your license;
  • Remove or obscure any copyright or proprietary notices contained in the Product.

Exporting records for your own outreach, research, and internal use is permitted within the scope of your license.

5. Intellectual Property

The Product, the Website, and all content contained in them — including the compilation, selection, and arrangement of the database — are the property of Access InterComm and are protected by copyright and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

6. Purchases, Delivery, and Refunds

The Product is delivered by digital download. Once your order has been processed and authorized, you will receive an email with instructions for downloading the Product.

Payments are processed by our e-commerce partners, Stripe and FastSpring. Purchases made through FastSpring are also subject to FastSpring's terms as merchant of record for those orders.

If you are not completely satisfied with the Product, or the database file cannot be installed, you may request a full refund within fourteen (14) days of purchase. We recommend downloading the fully functional trial version before you buy.

7. Data Accuracy Disclaimer

We work to keep the information in the Product accurate and current as of each edition's publication date. However, the venture capital industry changes constantly — firms move, merge, close, and change personnel — and we cannot guarantee that every record is accurate, complete, or current at the time you use it. The Product is provided for general informational purposes and does not constitute financial, legal, or investment advice.

8. Disclaimer of Warranties

THE WEBSITE AND THE PRODUCT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR THE PRODUCT WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCESS INTERCOMM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE WEBSITE OR THE PRODUCT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.

10. Third-Party Links

The Website and the Product contain links to third-party websites, including the websites of venture capital and private equity firms listed in the database. These links are provided for convenience only. We do not control and are not responsible for the content or practices of any third-party site.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Website or the Product after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms, the Website, or the Product shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

If you are a consumer resident in a jurisdiction whose laws grant you rights that cannot be waived by agreement, nothing in these Terms limits those rights.
